Coolax USA welcomes you to our website and services. These Terms & Conditions (“Terms”) govern your access to and use of the Coolax USA website, online forms, communications, estimates, proposals, invoices, services, maintenance plans, products, and related HVAC services provided by Coolax USA (“Coolax USA,” “we,” “our,” or “us”).
By using our website, submitting a form, requesting service, scheduling an appointment, approving an estimate, purchasing equipment or services, enrolling in a maintenance plan, communicating with us, or otherwise engaging with Coolax USA, you agree to these Terms.
If you do not agree with these Terms, please do not use our website or services.
1. Who We Are
Coolax USA is a licensed and insured HVAC contractor serving residential, commercial, and light commercial customers in Florida.
We provide HVAC installation, replacement, repair, retrofit, maintenance, inspection, consultation, indoor air quality, ductwork-related, controls, thermostat, and smart HVAC integration services.

2. Acceptance of Terms
By accessing our website or using our services, you agree to comply with these Terms and any applicable written estimate, proposal, invoice, service agreement, maintenance plan agreement, warranty document, financing disclosure, or signed contract.
If there is a conflict between these website Terms and a signed written agreement for a specific project or service, the signed written agreement will control for that specific project or service.
Coolax USA may update these Terms at any time. Changes become effective when posted on our website. Continued use of our website or services after changes are posted means you accept the updated Terms.
3. Description of Services
Coolax USA provides HVAC-related services, including but not limited to:
HVAC system installation;
HVAC system replacement;
HVAC repairs;
HVAC retrofit work;
Preventive maintenance and tune-ups;
System inspections;
Indoor air quality services;
Thermostats and controls;
Smart HVAC integration;
Ductwork-related services;
Equipment evaluation and recommendations;
Residential HVAC services;
Commercial and light commercial HVAC services;
Estimate preparation and project consultation.
Service availability may vary based on location, property type, equipment condition, scheduling availability, technician availability, manufacturer requirements, permitting requirements, code requirements, and project scope.
4. Eligibility and Authority
You must be at least 18 years old and legally able to enter into a binding agreement to use our services.
By requesting service, approving work, signing an estimate, authorizing access, or making payment, you represent that:
You are the property owner, authorized tenant, property manager, business representative, or other authorized decision-maker;
You have legal authority to authorize inspection, repair, replacement, installation, maintenance, or modification work at the property;
The information you provide to Coolax USA is accurate and complete;
No other person has superior authority over the HVAC system, property, or service decision unless disclosed to us before work begins.
Coolax USA may refuse, delay, or stop service if we determine that proper authorization has not been provided.
5. Website Use
You may use our website only for lawful purposes.
You agree not to:
Use the website or services for unlawful, fraudulent, abusive, or harmful purposes;
Interfere with the operation, security, or performance of our website, forms, CRM, communication systems, or business platforms;
Upload malware, viruses, malicious code, or harmful content;
Attempt unauthorized access to our systems, accounts, data, or platforms;
Copy, scrape, reproduce, or misuse website content without written permission;
Submit false, misleading, or fraudulent service requests;
Impersonate another person or misrepresent your authority to request service.
6. Estimates, Pricing, and Scope of Work
Coolax USA may provide verbal, written, electronic, or on-site estimates depending on the nature of the request.
Unless specifically stated otherwise in writing:
Estimates are based on visible conditions, customer-provided information, available system data, and reasonable assumptions at the time of evaluation;
Estimates may change if hidden conditions, code requirements, unsafe conditions, equipment incompatibility, access issues, incorrect information, material price changes, manufacturer changes, or additional work are discovered;
Quotes and estimates are valid only for the period stated in the estimate;
If no expiration date is listed, the estimate is valid for thirty (30) days;
Any work outside the approved scope may require a change order, revised estimate, or additional approval;
Manufacturer pricing, availability, rebates, tax credits, financing terms, and equipment availability may change without notice.
Coolax USA is not responsible for pricing errors, typographical errors, third-party pricing changes, or outdated website information.
7. Scheduling, Access, and Customer Responsibilities
Customers are responsible for providing safe, reasonable, and lawful access to the property and work area.
You agree to:
Provide accurate contact information and service address;
Ensure an authorized adult is available if required;
Provide safe access to equipment, attics, closets, rooftops, crawlspaces, electrical panels, condensers, air handlers, thermostats, ductwork, drains, and related areas;
Secure pets, children, valuables, and fragile items;
Inform Coolax USA of known hazards, access limitations, prior issues, roof access concerns, mold concerns, asbestos concerns, electrical concerns, structural concerns, water damage, pest concerns, or unsafe conditions;
Obtain required association, landlord, tenant, property manager, building owner, or business approvals before work begins;
Make payment according to the approved estimate, invoice, service agreement, or written payment terms.
Coolax USA may refuse, pause, or reschedule work if the property is unsafe, inaccessible, unsanitary, legally restricted, materially different from the information provided, or otherwise unsuitable for service.
8. Cancellations, Rescheduling, and Missed Appointments
If you need to cancel or reschedule an appointment, please provide at least twenty-four (24) hours’ notice whenever possible.
Coolax USA may charge a cancellation, trip, diagnostic, or no-show fee if:
You cancel with insufficient notice;
You are unavailable at the scheduled time;
We cannot access the property or equipment;
The work area is unsafe or not ready;
Incorrect information was provided when scheduling;
Required approvals, access, or payment arrangements are not in place.
Coolax USA may reschedule due to weather, emergency calls, technician availability, equipment availability, supplier delays, traffic, safety concerns, permitting issues, or other conditions beyond our control.
9. Payments and Late Fees
Payment is due according to the approved estimate, invoice, service agreement, maintenance plan agreement, or written payment terms.
Coolax USA may accept credit cards, debit cards, checks, ACH, electronic payments, financing payments, or other approved payment methods.
Unless otherwise agreed in writing:
Diagnostic fees, trip charges, service fees, and completed service work are due at the time of service;
Installation deposits or progress payments may be required before ordering equipment or scheduling installation;
Final payment is due upon substantial completion unless otherwise agreed in writing;
Returned checks, failed payments, chargebacks, or reversed payments may result in additional fees;
Unpaid balances may be subject to late fees, collection costs, attorney’s fees, lien rights where applicable, and referral to a collection agency.
Customer agrees to pay all amounts owed for approved work, completed work, ordered equipment, special-order materials, permits, inspections, and related services.
10. Financing
Coolax USA may provide access to third-party financing options.
Financing is offered by third-party financing providers and is subject to credit approval, lender terms, eligibility, disclosures, and applicable law.
Coolax USA does not guarantee:
Financing approval;
Interest rates;
Monthly payment amounts;
Promotional terms;
Credit decisions;
Funding timelines;
Lender availability.
Customers are responsible for reviewing all financing documents, loan terms, payment obligations, and disclosures before accepting financing.
11. Refund Policy
Service fees, diagnostic fees, trip charges, completed labor, installed materials, special-order equipment, permit fees, administrative fees, and completed work are generally non-refundable once service has been performed, materials have been ordered, or equipment has been installed.
If you are dissatisfied with our service, please contact us promptly. Coolax USA will review concerns in good faith and determine whether corrective action, warranty service, adjustment, credit, or another remedy is appropriate based on the facts, applicable warranties, and written agreement.
Refunds are not guaranteed unless expressly required by law or stated in a written agreement.
12. Buyer’s Right to Cancel for Certain Home Solicitation Sales
Certain residential transactions may qualify for a statutory cancellation period under applicable law, including certain home solicitation sales.
If applicable, you may have the right to cancel the agreement by providing written notice before midnight of the third business day after signing the agreement.
Any cancellation rights, instructions, deadlines, and legally required notices will be provided in the applicable written contract when required by law.
This section does not create cancellation rights beyond those required by applicable law or expressly provided in a written agreement.
13. Permits, Codes, Inspections, and Authority Having Jurisdiction
Certain HVAC installations, replacements, retrofits, or modifications may require permits, inspections, code compliance, association approvals, landlord approvals, engineering review, utility coordination, or other authorization.
Unless otherwise stated in writing:
Permit fees, code-required upgrades, engineering fees, inspections, utility requirements, access modifications, and third-party requirements may be additional costs;
Coolax USA is not responsible for delays caused by permitting authorities, inspectors, utilities, associations, property managers, landlords, manufacturers, suppliers, financing providers, or other third parties;
If code-required corrections, electrical upgrades, structural modifications, refrigerant line changes, condensate drain changes, platform changes, hurricane-stand requirements, duct modifications, access corrections, safety upgrades, or other required items are discovered, additional charges may apply.
Coolax USA is not responsible for pre-existing code violations or conditions created by prior contractors, owners, tenants, builders, or third parties.
14. Equipment, Materials, Availability, and Substitutions
Equipment and material availability may depend on manufacturers, distributors, suppliers, shipping, market conditions, and product lead times.
Coolax USA may recommend or provide alternative equipment, materials, models, or components if originally quoted items become unavailable, discontinued, delayed, backordered, or unsuitable for the application.
Any material substitution affecting price, performance, brand, warranty, or scope will be communicated for approval when practical and required.
Coolax USA is not responsible for manufacturer delays, distributor shortages, discontinued models, backordered parts, shipping delays, or market-driven price changes.
15. Existing Conditions and Hidden Conditions
HVAC systems are affected by existing property conditions. Coolax USA is not responsible for pre-existing, hidden, concealed, unknown, or inaccessible conditions, including but not limited to:
Defective ductwork;
Undersized or oversized duct systems;
Poor insulation;
Air leakage;
Electrical deficiencies;
Drainage problems;
Structural issues;
Mold, microbial growth, biological contamination, or indoor air quality conditions;
Asbestos, lead, or hazardous materials;
Improper prior installation;
Code violations;
Manufacturer defects;
Refrigerant leaks not visible during initial evaluation;
Corrosion;
Storm damage;
Rodent, insect, animal, or pest damage;
Flood damage;
Fire damage;
Wind damage;
Vandalism;
Building envelope issues;
Improper maintenance;
Dirty filters;
Altered, damaged, or missing equipment labels or serial numbers;
Unauthorized modifications or prior repairs.
Additional work required due to existing or hidden conditions may require a change order and additional payment.
16. Hazardous Materials, Mold, and Unsafe Conditions
Coolax USA is not a mold remediation, asbestos abatement, lead abatement, pest control, structural engineering, or environmental remediation company.
If mold, microbial growth, asbestos, lead, hazardous materials, unsafe electrical conditions, structural concerns, pest infestation, or other unsafe conditions are discovered, Coolax USA may stop work and recommend that the customer contact an appropriate licensed specialist.
Coolax USA is not responsible for testing, identifying, removing, remediating, or certifying hazardous materials, mold, microbial growth, or environmental conditions unless expressly agreed in writing.
17. Customer-Supplied Equipment or Materials
If a customer supplies equipment, parts, thermostats, accessories, filters, smart devices, air quality products, or other materials, Coolax USA is not responsible for:
Product defects;
Missing parts;
Incompatibility;
Warranty issues;
Performance limitations;
Shipping damage;
Improper sizing;
Counterfeit products;
Manufacturer support issues;
Code compliance issues related to customer-supplied materials.
Coolax USA may refuse to install customer-supplied equipment or materials if we determine they are unsafe, incompatible, non-code-compliant, counterfeit, damaged, improperly sized, or unsuitable for the project.
18. Warranty Terms
Coolax USA honors applicable manufacturer warranties on qualifying equipment and parts, subject to the manufacturer’s terms, registration requirements, exclusions, limitations, and approval process.
Coolax USA may provide workmanship warranty coverage when stated in a written estimate, invoice, contract, or service agreement.
Unless specifically stated in writing:
Manufacturer warranties are provided by the manufacturer, not Coolax USA;
Warranty labor may not be included unless expressly stated;
Warranty coverage may be voided or limited by misuse, abuse, lack of maintenance, unauthorized repairs, improper filters, power issues, water damage, code violations, improper operation, or third-party modifications;
Coolax USA is not responsible for manufacturer delays, denied warranty claims, discontinued parts, backordered parts, or manufacturer warranty limitations.
Warranty remedies are limited to those expressly stated in writing.
19. Disclaimer of Implied Warranties
To the fullest extent permitted by law, Coolax USA disclaims all implied warranties, including any implied warranty of merchantability or fitness for a particular purpose, except where such disclaimer is prohibited by law or where a written agreement expressly provides otherwise.
All warranties, guarantees, and remedies are limited to those expressly stated in writing.
20. Maintenance Plans
If you enroll in a Coolax USA maintenance plan, the specific services, schedule, pricing, benefits, exclusions, renewal terms, and cancellation terms will be described in the applicable maintenance plan agreement, invoice, online plan description, or written documentation.
Unless otherwise stated in writing:
Maintenance visits must be scheduled based on availability;
Customers are responsible for scheduling or responding to scheduling requests;
Maintenance plans do not guarantee that equipment will not fail;
Maintenance plans do not guarantee reduced utility bills, system life extension, or prevention of future repairs;
Maintenance plans do not cover pre-existing conditions, repairs, parts, refrigerant, filters, duct repairs, equipment replacement, code upgrades, electrical work, drain repairs, or additional services unless expressly included;
Customers are responsible for regularly replacing filters unless a filter service is expressly included;
Discounts or benefits may not be combined with other promotions unless approved in writing;
Monthly or annual maintenance plans may automatically renew if disclosed and accepted at enrollment;
Cancellation terms, renewal terms, early termination charges, and refund rules will be governed by the specific maintenance plan agreement.
Coolax USA is not responsible for damage or system failure caused by the customer’s failure to replace filters, maintain proper airflow, approve recommended repairs, or operate equipment according to manufacturer instructions.
21. Scheduling Maintenance Plan Visits
Customers enrolled in a maintenance plan are responsible for scheduling maintenance visits or responding to scheduling communications from Coolax USA.
Maintenance visits are subject to availability. Coolax USA cannot guarantee specific appointment dates or times.
Failure to schedule or complete maintenance visits does not automatically entitle the customer to a refund, credit, or rollover unless expressly stated in the maintenance plan agreement.
22. System Performance
Coolax USA will use reasonable professional judgment when evaluating, servicing, designing, or installing HVAC systems.
However, HVAC performance depends on many factors beyond Coolax USA’s control, including:
Building envelope;
Insulation;
Windows and doors;
Duct design and duct condition;
Air leakage;
Thermostat settings;
Occupancy load;
Equipment selection;
Maintenance history;
Electrical supply;
Outdoor weather conditions;
Indoor humidity load;
Customer use and operation;
Existing construction conditions;
Prior installation quality;
Air balance and room-by-room load conditions.
Unless expressly stated in writing, Coolax USA does not guarantee specific energy savings, utility bill reductions, humidity levels, room-by-room temperature uniformity, indoor air quality results, rebate eligibility, tax credit eligibility, or financing approval.
23. Rebates, Tax Credits, and Incentives
Coolax USA may provide general information about rebates, utility incentives, manufacturer promotions, financing promotions, or tax credits.
Such information is provided for convenience only and may change without notice.
Eligibility for rebates, incentives, or tax credits is determined by the applicable utility, manufacturer, government agency, financing provider, or tax professional.
Coolax USA does not guarantee:
Rebate eligibility;
Rebate approval;
Rebate amount;
Tax credit eligibility;
Tax treatment;
Utility incentive availability;
Manufacturer promotion availability;
Financing promotion availability.
Customers are responsible for confirming eligibility and consulting a qualified tax advisor where appropriate.
24. Reviews, Testimonials, Photos, and Marketing Use
If you submit a review, testimonial, rating, comment, photo, video, or other feedback to Coolax USA or through a public platform, you authorize Coolax USA to use, display, reproduce, quote, or reference that content for customer service, marketing, reputation, advertising, and business purposes, unless prohibited by law or platform rules.
Coolax USA will not intentionally publish sensitive personal information such as full payment information or private account information.
Project photos may be used for documentation, quality control, training, warranty support, and marketing, provided they do not intentionally disclose sensitive personal information.
25. Limitation of Liability
To the fullest extent permitted by law, Coolax USA, its owners, officers, employees, contractors, subcontractors, representatives, and affiliates shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of use, loss of business opportunity, loss of comfort, inconvenience, loss of data, loss of goodwill, or other indirect losses arising from or related to our website, communications, estimates, services, equipment, maintenance, installation, repair, delay, or any agreement.
To the fullest extent permitted by law, Coolax USA’s total cumulative liability for any claim shall not exceed the amount actually paid by the customer to Coolax USA for the specific service or project giving rise to the claim, except where prohibited by law or where personal injury is caused by gross negligence or willful misconduct.
26. No Insurance Obligation
Coolax USA is not an insurer of your property, HVAC system, equipment, contents, indoor air quality, comfort conditions, business operations, utility costs, or personal property.
Customers are responsible for maintaining appropriate property insurance, business insurance, equipment protection, and risk coverage.
27. Indemnification
You agree to defend, indemnify, and hold harmless Coolax USA, its owners, officers, employees, contractors, subcontractors, representatives, and affiliates from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorney’s fees, arising out of or related to:
Your breach of these Terms;
Your misuse of our website or services;
Inaccurate information you provide;
Unsafe property conditions;
Lack of authority to approve work;
Third-party claims related to property access, ownership, tenancy, association rules, or authorization;
Customer-supplied equipment or materials;
Conditions not caused by Coolax USA’s gross negligence or willful misconduct;
Your failure to disclose known hazards, limitations, or property conditions.
28. Force Majeure
Coolax USA is not responsible for delays, failures, or damages caused by events beyond our reasonable control, including:
Severe weather;
Hurricanes;
Storms;
Floods;
Fire;
Labor shortages;
Supplier delays;
Manufacturer delays;
Equipment shortages;
Transportation issues;
Power outages;
Utility issues;
Permitting delays;
Inspection delays;
Government actions;
Acts of God;

Other conditions beyond our control.
29. SMS / Text Messaging Terms

By opting in to receive text messages from Coolax USA, you agree to receive SMS and/or MMS messages related to your inquiry, appointment scheduling, appointment reminders, dispatch notifications, technician arrival updates, service updates, estimate follow-ups, billing or service-related communications, maintenance reminders, customer support, financing-related communications where applicable, job completion follow-ups, and review requests.
Messages may be sent using automated technology, including automated systems, autodialer technology, artificial intelligence tools, or prerecorded messages where legally permitted.

These Terms, together with any written estimate, invoice, proposal, service agreement, maintenance plan agreement, financing disclosure, warranty document, or signed contract, constitute the agreement between you and Coolax USA for the applicable service.
If there is a conflict between these website Terms and a signed written agreement, the signed written agreement will control for that specific project or service.
No verbal statement, promise, representation, or informal communication modifies these Terms or any written agreement unless confirmed in writing by Coolax USA.
39. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
40. Dispute Resolution and Venue
Any dispute arising out of or related to these Terms, our website, estimates, services, payments, equipment, installation, repair, maintenance, communications, or any agreement shall be resolved in the state or federal courts located in Seminole County, Florida, unless a different venue or dispute resolution method is required by applicable law or agreed in a signed written contract.
Both parties consent to the jurisdiction and venue of such courts.
41. Attorney’s Fees and Collection Costs
To the fullest extent permitted by law, if Coolax USA must take action to collect unpaid amounts, enforce an agreement, defend against a claim arising from customer breach, or address misuse of services, Coolax USA may recover reasonable attorney’s fees, collection costs, court costs, and related expenses where permitted by law or contract.

Coolax USA may update these Terms from time to time to reflect changes in business practices, technology, services, legal requirements, communication methods, or operational procedures.
When we update these Terms, we will revise the “Last Updated” date.
